Terms & Conditions

Version: v9.4Effective: 23 October 2026Last Updated: 23 October 2026
In short: Quackzo is software your business uses to run its menus, orders, rooms and bills. You pay in advance for a fixed period and nothing renews by itself. You keep your data and your records, and you are responsible for your guests' data and your taxes. Each side's liability is capped at what you paid us in the last 12 months.

1. This agreement

These Terms & Conditions ("Terms") are an agreement between Inovite Services Private Limited (CIN U63114MH2025PTC439703), which runs Quackzo ("we", "us"), and the business that uses Quackzo ("you").

You accept these Terms when you tick the box at sign-up, accept them in the app, or sign a quotation that refers to them. The person accepting must be at least 18 and authorised to act for the business. This is an electronic contract under section 10A of the Information Technology Act, 2000.

These Terms include our Privacy Policy, Cookie Policy and Cancellation & Refund Policy, our WhatsApp Add-On Terms if you switch that add-on on, and our Website Booking API Terms if you use that API. If a quotation we have signed with you says something different, the quotation applies on that point.

2. What Quackzo does

Quackzo is cloud software for restaurants, hotels, resorts and guest houses. Depending on your plan, it lets you: • publish menus that guests open by QR code, take orders and send them to the kitchen; • manage tables, table reservations, rooms, dormitory beds, bookings, check-in and housekeeping; • issue bills, invoices and receipts, record payments and amounts due, and keep an expense book and cash register; • receive a nightly sales report by email; • give staff their own accounts with limited roles; • export your data at any time; • send guests their booking confirmation, arrival message and bill on WhatsApp, if you add our WhatsApp add-on; • receive booking requests from your own website through our Website Booking API, if you use it.

Quackzo is a tool. It does not give tax, legal or accounting advice, and you remain responsible for running your business.

We may improve or change features. We will give at least 30 days' notice before removing a feature your plan depends on; if that leaves your plan materially worse, you may end it and receive a refund for the unused prepaid days.

3. Accounts and staff

Give us accurate details and keep them up to date. Keep passwords private: you are responsible for what is done through your account.

The owner of the account decides who else gets access. When you add staff, you are responsible for what they do in Quackzo, and you must give them our Privacy Policy. Remove staff who leave. Quackzo switches off staff accounts unused for 15 days and removes them 15 days later. On a plan without staff logins, your staff cannot sign in, and their accounts are kept until staff logins return or you ask us to remove them.

Tell us at once at connect@inovite.in if you think someone has used your account without permission.

4. Plans and payment

Early access. While Quackzo is in early access, plans are offered by quotation. The quotation sets the price, the period and what is included. You pay by UPI or bank transfer to the account shown on our invoice. We may also give free access for a period; we will tell you when it ends.

Online plans. When online plans are open, you buy a prepaid plan for a fixed number of days through Razorpay, at the price shown before you pay.

Either way: • plans are paid in advance and never renew automatically, so you are never charged unless you choose to pay again; • paying again while a plan is active adds the new days to your current end date; • a price change never affects a plan you have already paid for; • pay only to the account shown on an invoice from Inovite Services Private Limited, or through our Razorpay checkout; we will never ask you, by phone or message, to pay anywhere else.

Taxes. Inovite Services Private Limited is not registered for GST at present, so no GST is charged. If we register, GST at the applicable rate will be added to prices from that date and shown on our invoices.

Refunds are covered by our Cancellation & Refund Policy.

5. When a plan ends

We email you 7 days before your plan ends (2 days before, for a weekly plan) and on its last day.

When the plan ends, Quackzo closes for your staff. For 30 days after the end date (the grace period), the owner can still sign in to pay for a new plan and to export data from Settings. We email you when the plan ends, 7 days before the grace period closes, and on its last day.

After the grace period we may permanently delete the account and all its data. We will not do so without sending the notices above.

6. Your data and your records

Everything you put into Quackzo stays yours. You allow us to store, process and display it only to provide Quackzo to you.

Quackzo keeps bills, receipts and completed stays for the current financial year and the three before it, and deletes the oldest year every 1 April after emailing you 60 days and 7 days before. You instruct us to delete data on the schedule in section 7 of our Privacy Policy.

Quackzo is not your statutory record-keeper. You must keep your own copies of bills and accounts for as long as the law requires — for example 72 months under section 36 of the CGST Act, the period set by income-tax law, and, for a company, 8 years with a daily backup on servers in India under the Companies Act, 2013 and the Companies (Accounts) Rules, 2014. Use Settings → Export to download your bills, invoice copies and records at any time.

If you delete your account, everything in it is deleted at once and cannot be recovered. Export first.

7. Bills and tax

Quackzo calculates totals, discounts and GST from the rates and settings you choose, numbers your invoices, and prints them in your name. You are responsible for: • deciding whether you must register for GST, and setting Quackzo to match; • the GST rates and other settings you choose; • checking that each bill is correct before you issue it; • filing your returns and paying your taxes, including reporting the credit and debit notes you issue.

An issued bill is never edited in place. You, and senior managers you allow in Settings, can correct one. A change of amount, even a minute after the bill is issued, is made only through a credit or debit note issued in its own series, quoting the bill, which itself stays as issued; a bill issued by mistake is credited in full. Notes can be issued until 30 November after the financial year ends. A change of the guest's name, phone or address keeps the bill's number and marks it revised, until that same 30 November; a change of how it was paid does the same, until the earlier of 30 days after the bill and the 10th of the following month. Each correction and note is kept with the bill, with who made it, when and why, and neither you nor we can change or remove it while the bill is kept.

If a calculation is wrong because of a fault in Quackzo, tell us and we will fix it quickly. Our liability for it is limited as section 16 sets out.

8. Your guests' personal data

You decide what guest and diner data to collect and why, so under the DPDP Act you are its Data Fiduciary and we are your Data Processor. You must: • tell guests what you collect and why, in a notice that meets the DPDP Act (we will suggest wording on request); • have a lawful basis for collecting it, including a parent's consent where the DPDP Act requires it for a child; • answer guests who ask to see, correct or delete their data; we will help; • collect identity document numbers only where a law requires it, such as the police guest register or Form C for foreign guests, or to identify the person responsible for a hall booking; • never upload photos or scans of identity documents, and follow UIDAI's rules on Aadhaar.

We may delete, without notice, any upload that breaks these rules.

9. How we process data for you

When we handle your guests' or staff's personal data for you, we will: • use it only to provide Quackzo to you and as you instruct, never for our own purposes; • keep it confidential, and let only those of our team who need it see it; • protect it as section 8 of our Privacy Policy describes; • use only the service providers listed in our Privacy Policy, which you authorise; we will give you 14 days' notice of a new one, and if you object and we cannot meet your concern, you may end your plan and receive a refund for the unused prepaid days; • tell you within 24 hours of confirming a breach affecting your data, give you what we know, and help you meet your own reporting duties; • help you answer guests' requests where we technically can; • delete the data on the schedule in our Privacy Policy, or at once when you delete your account, apart from copies in our backups, which expire as that policy describes; • give you the information you reasonably need to show that this section is followed.

You agree that this data may be stored and processed outside India, in the countries named in our Privacy Policy.

10. Acceptable use

Do not use Quackzo to: • break any law, or deceive or defraud anyone; • upload content that is obscene, defamatory, hateful or harmful to children, that infringes anyone's rights, or that you have no right to use; • send marketing or promotional messages through our WhatsApp add-on; • access accounts, data or systems you are not allowed to, or test our security without our written permission; • upload malware, or overload or disrupt the service; • copy, reverse-engineer or resell Quackzo, or collect data from it by automated means without our written permission.

We may remove content or suspend an account that breaks these rules (section 18).

11. Your content

You own the menus, photos, logos and other content you upload. You promise that you have the right to use it and that it does not infringe anyone's rights or break any law. We do not check content before it appears.

If we receive a complaint, legal notice or court order about your content, we may remove it or disable access to it while we look into it.

12. Our software

Quackzo's software, design and brand belong to Inovite Services Private Limited. You have a limited, non-transferable right to use Quackzo while your plan is active. If you send us suggestions, we may use them freely.

13. Other services

Quackzo works with services run by others: Razorpay, Google, Meta (WhatsApp) and the providers listed in our Privacy Policy. When you use them you also accept their terms. We are not responsible for services we do not control, but we choose providers with care and will tell you if one we rely on stops.

14. Availability and support

We work to keep Quackzo running at all times, but we do not promise that it will be uninterrupted or free of errors. We may pause it for maintenance and will give notice of planned work where we can.

Support is by email, as our Grievance & Support page describes. If Quackzo is down for more than 24 hours in a row because of a fault in our own systems, you can claim extra days under our Cancellation & Refund Policy.

15. What we do not promise

Apart from what these Terms say, Quackzo is provided "as is". To the extent the law allows, we make no other promise, for example that it suits a particular purpose. Nothing in these Terms takes away a right that the law does not allow a contract to remove.

16. Limits on liability

(a) Neither of us is liable to the other for indirect or consequential loss, such as lost profit, revenue, business or goodwill. We are not liable for loss of data you could have exported.

(b) Each party's total liability for all claims under or in connection with these Terms is limited to the fees you paid us in the 12 months before the event that led to the claim, or ₹1,000 if you paid nothing in that time. This is a maximum, not an amount either of us owes: a claim must still prove a loss the other party caused.

(c) These limits do not apply to amounts you owe us, to your promises to cover our losses in section 17, to fraud or deliberate wrongdoing by either of us, or to anything else the law does not allow to be limited.

(d) Charges you owe Meta or any other provider for services you use with Quackzo are your own costs, not losses we must pay, except as section 7 of our WhatsApp Add-On Terms provides.

17. Covering our losses

You will cover our reasonable losses, including legal fees, from any claim by someone else that arises because: • you broke these Terms or the law; • your content infringed someone's rights; • you collected or used guest data without the notice, consent or lawful basis the law requires, or uploaded identity documents; • you messaged a guest on WhatsApp without the agreement our WhatsApp Add-On Terms require; • you issued a bill or invoice, or filed a return, that was wrong because of your own settings or entries.

We will tell you promptly about any such claim and let you take part in defending it.

18. Ending the agreement

You may stop using Quackzo at any time, and the owner can delete the account from Settings. Plans are prepaid; refunds follow our Cancellation & Refund Policy.

We may suspend or end your access at once if you seriously break these Terms, do not pay, act fraudulently, or if the law or a court requires it. We may also end this agreement for any other reason on 30 days' notice, and will then refund the unused prepaid days.

Sections 6, 8, 9, 16, 17 and 21 continue after this agreement ends, as does anything else that by its nature should.

19. Events beyond control

Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as natural disasters, epidemics, war, government action, power or internet failures, or the failure of a provider we rely on, as long as we do what we reasonably can to limit the harm. This does not excuse payment, and it does not reduce our legal duty to protect personal data.

If a provider we rely on stops for good and we cannot replace it, we will tell you as early as we can and refund the unused prepaid days.

20. Changes to these Terms

Before a material change takes effect, we will tell you by email or in the app at least 14 days ahead, and ask you to accept the new version in the app. If you do not accept it, you may end your plan before the change takes effect and receive a refund for the unused prepaid days.

21. Law and disputes

These Terms are governed by the laws of India.

If a dispute arises, first email connect@inovite.in with the details. We will both try in good faith to settle it within 30 days.

If it is not settled, either of us may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator we agree on or, failing agreement within 15 days, one appointed under that Act. The seat and venue are Akola, Maharashtra, and the arbitration is in English. The award is final and binding.

Either of us may ask a court for urgent interim relief. The courts at Akola, Maharashtra have exclusive jurisdiction for that and for enforcing an award.

Nothing in this section removes any right you may have under the Consumer Protection Act, 2019 to approach a Consumer Commission.

22. Notices

We send notices to the email address of the account owner. Send formal notices to us at connect@inovite.in and by post to Inovite Services Private Limited, 869 Balaji Nagar, Borgaon Manju, Akola, Maharashtra 444102, India.

23. General

• These Terms, the documents they include and any signed quotation are the whole agreement between us about Quackzo. • If any part of these Terms cannot be enforced, the rest still applies. • Not enforcing a right straight away does not waive it. • You may not transfer this agreement without our written consent. We may transfer it to a company that takes over Quackzo, and will tell you if we do. • Neither of us is the other's agent, partner or employee.
